Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") govern your access to and use of Syncendio's website and the Syncendio inventory, purchasing, sales, and assembly platform (together, the "Service"), provided by [Legal Entity Name] ("Syncendio," "we," "us," or "our"). By creating an account, starting a free trial, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. The service

Syncendio provides a software platform for managing inventory, purchasing, sales, assembly/bill-of-materials, warehouse management, supplier records, reporting, and point-of-sale operations. We may add, change, or remove features from time to time; material reductions in functionality for paid plans will be communicated in advance where practical.

3. Accounts & eligibility

You must provide accurate and complete information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use. The Service is intended for business use by individuals who are at least 18 years old and authorized to act on behalf of the business signing up.

4. Free trial

We may offer a free trial period (currently 14 days) for new accounts. No payment card is required to start a trial. At the end of the trial period, continued use of the Service requires selecting and subscribing to a paid plan; trial workspaces that are not converted to a paid plan may be suspended or deleted after a grace period. We may modify or discontinue the free trial offer at any time.

5. Subscription plans, billing & payment

5.1 Plans

Syncendio offers Starter, Standard, Growth, and Pro subscription plans, each with the features and pricing described on our Pricing page at the time of purchase. Pricing is subject to change; we will provide notice before any change takes effect for existing subscribers.

5.2 Currency & taxes

All prices are stated and charged in United States dollars (USD) and are exclusive of taxes. Any applicable sales tax, GST/HST, or VAT is calculated and added at checkout based on your business location, and is shown before you confirm. You are responsible for any taxes other than those on our net income.

5.3 Payment processing

All payments are processed by Stripe, Inc. We do not store your full payment card number. By subscribing, you authorize us (via Stripe) to charge your chosen payment method on a recurring basis (monthly or annual, as selected) until you cancel.

5.4 Auto-renewal & cancellation

Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period, and you will retain access until then.

5.5 Refunds

Except where a refund is required by applicable law, fees are non-refundable and we do not provide refunds or credits for partial billing periods, unused time, or features you did not use. Because every plan is preceded by a free trial that requires no payment card, you can evaluate the Service in full before any charge is made.

If you cancel, your subscription remains active until the end of the billing period you have already paid for, as described in Section 5.4; cancelling does not trigger a refund of that period. Downgrading to a lower-priced plan takes effect at your next renewal and does not refund the difference for the current period.

Two exceptions apply. If we terminate your subscription for reasons other than your breach of these Terms, we will refund the unused portion of any prepaid fees on a pro-rata basis. And if you are charged as the result of a billing error on our part, we will refund the incorrect amount in full.

We may also grant a refund at our discretion in individual cases; doing so does not oblige us to grant one in any other case. Nothing in this section limits any non-waivable rights you have under the consumer-protection laws of your jurisdiction.

5.6 Failed payments

If a payment fails, we may retry the charge and/or suspend access to the Service until payment is resolved, after providing reasonable notice.

6. Referral program

Under our referral program, an existing customer who refers a new business may receive account credit once the referred business completes three consecutive paid months on a plan, with the credit amount tied to the referred business's plan tier as described on our website. We may modify, suspend, or terminate the referral program, or decline or reverse credits obtained through fraud or abuse of the program, at our discretion.

7. Partner program

Bookkeepers, consultants, and resellers may apply to our partner program. Applications are reviewed and are not automatically approved. Approved bookkeepers, accountants and consultants receive a monthly revenue share on clients they refer for as long as the client is active and they remain the client's advisor; approved resellers receive a one-time commission on each client's first payment. Full terms are provided upon approval. Submitting an application does not guarantee acceptance into the program.

8. Your data & content

As between you and Syncendio, you retain ownership of the business data you input into the Service (inventory records, purchase orders, sales data, and similar content, "Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Service. We will make reasonable efforts to allow you to export your Customer Data during your subscription and for a reasonable period after termination, except where legal or security reasons prevent it. To the extent Customer Data includes personal data subject to data protection law, our Data Processing Agreement governs how we process it on your behalf and is incorporated into these Terms by reference.

9. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to the Service, other accounts, or our systems.
• Interfere with or disrupt the integrity or performance of the Service (including through the signup or lead-capture forms).
• Reverse-engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law.
• Resell or sublicense access to the Service without our written consent, outside of the partner program described in Section 7.

10. Intellectual property

Syncendio and its licensors retain all right, title, and interest in and to the Service, including all software, design, and branding, excluding your Customer Data. Nothing in these Terms transfers any Syncendio intellectual property to you, other than the limited right to use the Service as permitted here.

11. Third-party services

The Service relies on third-party providers, including Stripe for payment processing and our hosting and infrastructure providers. Your use of such third-party services in connection with Syncendio may be subject to their own terms, including Stripe's Services Agreement.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR REQUIRED BY LAW. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Syncendio WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE [e.g., "twelve (12) months"] PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold Syncendio harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your Customer Data, or your misuse of the Service.

15. Termination

You may stop using the Service and cancel your subscription at any time as described in Section 5.4. We may suspend or terminate your access to the Service if you materially breach these Terms and fail to cure the breach after reasonable notice, or immediately in cases of suspected fraud, security risk, or legal requirement. Upon termination, your right to use the Service ends, subject to the data-export provisions in Section 8.

16. Changes to these terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date above. For material changes, we will provide reasonable advance notice (e.g., by email or in-app notice) before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

17. Governing law & disputes

These Terms are governed by the laws of [State/Country of governing law], without regard to conflict-of-law principles. Any disputes arising from these Terms or the Service will be resolved in the courts located in [Jurisdiction], and you consent to their jurisdiction, unless applicable law requires otherwise.
